Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SDG Assistant client workspace, including all associated dashboards, reports, integrations, and related services (collectively, the "Service") provided by Sole Design Group LLC ("SDG," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility & Accounts

The Service is provided to clients of Sole Design Group and to authorized users invited by an account administrator. Access is granted by invitation and is tied to an active service relationship between your organization and SDG.

You must be at least 18 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at info@soledesigngroup.com if you believe your account has been compromised.

Account administrators may invite, manage, and remove additional users within their workspace. Administrators are responsible for the actions of users they invite.

2. Description of the Service

The Service is a marketing operations workspace that may include, depending on your configuration:

  • Marketing analytics dashboards (web analytics, email marketing, paid search, paid social, organic social, search console)
  • Periodic generated reports summarizing marketing performance
  • Content marketing and social media calendars
  • Form submission and lead tracking
  • Domain registration and monitoring information
  • Asset and document storage
  • Invoices and billing information
  • Encrypted storage of platform credentials using commercially reasonable security practices
  • Tutorials and onboarding materials

The specific features available to your workspace depend on your service agreement and on the integrations you have authorized. Features may be added, modified, or removed over time.

3. Acceptable Use

You agree not to:

  • Use the Service in violation of any applicable law, regulation, or third-party right
  • Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks
  • Reverse engineer, decompile, or attempt to derive the source code of the Service except where permitted by law
  • Interfere with or disrupt the integrity or performance of the Service, including by introducing malware, conducting denial of service activity, or scraping the platform
  • Use the Service to store or transmit unlawful, infringing, harassing, defamatory, or otherwise objectionable content
  • Resell, sublicense, or otherwise commercially exploit the Service without our written consent
  • Use automated means (bots, scrapers, crawlers) to access the Service except through interfaces we expressly provide

4. Third-Party Integrations

The Service connects to third-party platforms — including but not limited to Google Analytics, Google Ads, Google Search Console, Meta (Facebook/Instagram), Brevo, Webflow, and registrar/WHOIS data providers — to retrieve and display data on your behalf. You authorize SDG to access these platforms using credentials or API tokens you (or your administrators) provide.

Your use of these third-party platforms is governed by the respective providers' terms and privacy policies. SDG is not responsible for the availability, accuracy, completeness, or behavior of any third-party platform, and changes by those providers (including API changes, rate limits, or outages) may affect the data displayed in the Service.

Advertising platform performance, delivery pacing, bid optimization, audience targeting, attribution, and spend allocation are controlled in part by third-party systems and automated platform algorithms. SDG does not guarantee advertising results, lead volume, booking volume, conversion rates, cost per acquisition, or return on advertising spend.

Client acknowledges that advertising spend, pacing, and delivery may vary from projections, budgets, or daily targets due to platform behavior, auction dynamics, attribution methodologies, automated bidding systems, fraud prevention systems, click activity, or technical limitations outside SDG's control.

You are responsible for ensuring that you have the right to authorize SDG to access any third-party platform data shared with the Service.

5. Your Content & Data

You retain all rights to the content, files, and data you or your authorized users upload, submit, or store within the Service ("Your Content"), including documents, brand assets, form submissions, and lead data.

You grant SDG a limited, non-exclusive license to host, store, process, transmit, and display Your Content solely as necessary to operate, maintain, and improve the Service for your benefit, and to perform the services described in your service agreement with SDG.

You represent and warrant that you have all rights necessary to upload Your Content and that Your Content does not violate any third-party rights or applicable law.

SDG will use commercially reasonable efforts to maintain the confidentiality of non-public information submitted through the Service and will not intentionally disclose such information to third parties except as necessary to provide the Service, comply with applicable law, enforce these Terms, or as otherwise authorized by the client.

6. Disclaimer of Warranties & Data Accuracy

The information, analytics, estimates, and reporting presented by SDG Assistant are provided for informational purposes only and are based on third-party platforms, tracking tools, integrations, and available data sources. While Sole Design Group strives to provide accurate and timely information, the data presented is not guaranteed to be complete, accurate, or error-free.

Revenue estimates, booking attribution, lead values, ROAS calculations, and performance metrics displayed within SDG Assistant are estimates derived from third-party platforms and tracking methodologies and should not be interpreted as guaranteed financial results. Actual business performance may vary due to attribution limitations, platform reporting discrepancies, tracking interruptions, user behavior, cookie restrictions, summaries, or integration errors.

Sole Design Group assumes no liability for inaccuracies, omissions, reporting discrepancies, or business decisions made based on the information presented.

Portions of the Service may utilize artificial intelligence, automated summarization, predictive models, or machine-generated content. Outputs generated by the Service may contain inaccuracies, omissions, outdated information, or unintended results and should not be relied upon as a substitute for professional judgment, independent verification, or professional advice of any kind.

Client remains solely responsible for reviewing and approving all business decisions, marketing actions, advertising spend, published content, operational decisions, and strategic recommendations derived from or influenced by the Service.

Information presented through the Service does not constitute legal, accounting, tax, investment, financial, or other professional advice. Clients should consult their own professional advisors before making business, legal, financial, or operational decisions.

While SDG implements commercially reasonable administrative, technical, and organizational safeguards designed to protect information within the Service, no internet-based platform, software system, or electronic transmission can be guaranteed completely secure or uninterrupted. Client acknowledges and accepts the inherent risks associated with cloud-based services, third-party integrations, electronic storage, and online communications.

SDG shall not be liable for unauthorized access, cybersecurity incidents, credential compromise, data breaches, service interruptions, or data loss caused by third-party providers, client actions, compromised credentials, force majeure events, or circumstances outside SDG's reasonable control.

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, timely, secure, or error-free.

7. Limitation of Liability

To the maximum extent permitted by law, in no event shall Sole Design Group LLC, its affiliates, officers, employees, agents, contractors, licensors, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of (or inability to use) the Service, including but not limited to lost profits, lost revenue, lost business opportunities, advertising losses, attribution discrepancies, inaccurate reporting, lost data, cybersecurity incidents, credential compromise, service interruptions, business interruption, loss of goodwill, or procurement of substitute services, even if SDG has been advised of the possibility of such damages.

SDG's total aggregate liability arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total amounts paid by you or your organization to SDG for the Service during the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

8. Indemnification

You agree to indemnify, defend, and hold harmless Sole Design Group LLC and its affiliates, officers, employees, and agents from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any third-party right or applicable law, including but not limited to advertising laws, intellectual property laws, privacy laws, accessibility requirements, consumer protection laws, email or SMS marketing regulations, or platform policies.

9. Fees & Billing

Access to the Service is provided as part of your service agreement with SDG. Fees, billing cadence, and payment terms are set forth in that agreement or in any invoice issued through the Service. Unless otherwise stated, fees are non-refundable.

If your organization's service agreement with SDG is suspended, terminated, or expires, your access to the Service may be suspended or terminated.

10. Intellectual Property

The Service, including its software, design, branding, and documentation (excluding Your Content), is the property of Sole Design Group LLC and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

No rights are granted to you other than as expressly set forth in these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if (a) you violate these Terms, (b) your organization's service agreement with SDG ends, (c) we are required to do so by law, or (d) we discontinue the Service.

You may stop using the Service at any time. Your organization may request termination of the workspace by contacting info@soledesigngroup.com.

Upon termination, your right to access the Service ends immediately. Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and governing law) will survive.

Data retention following termination is governed by our Privacy Policy.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

13. Changes to the Service or Terms

We may modify or discontinue any part of the Service at any time without liability. We may also update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Material changes will be communicated through the Service or by other reasonable means.

Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Ramsey County, Minnesota, and you consent to the personal jurisdiction of those courts.

Each party waives any right to a jury trial in any proceeding arising out of or related to these Terms.

15. Miscellaneous

These Terms, together with your organization's service agreement with SDG and our Privacy Policy, constitute the entire agreement between you and SDG regarding the Service. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision will not be considered a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms without restriction.
